This Agreement contains the complete terms and conditions and frequently asked questions for the participation in my Affiliate Program.

As used in this Agreement, "us" or "I" or "my" or "we" refers to ChrisFarrellMembership.com and "you" of course refers to yourself (the affiliate).

I am using Clickbank to manage my affiliate program.

Founded in 1998, ClickBank is the online retail outlet for over 12,000 digital product vendors and their more than 100,000 active affiliates.

ClickBank makes a sale somewhere in the world every three seconds. They serve over 200 countries, and are consistently ranked as one of the most highly trafficked sites on the web.

More importantly - they have never missed a payment to their affiliates in their 11 year history.

Some of the most common questions about my affiliate program are addressed below.

1. How Do I Enroll In The Affiliate Program?

   My affiliate program is managed and automated through Clickbank.

   Therefore the very first thing you must do is sign up for your ClickBank account. This is FREE. If you have not yet signed up for a ClickBank account, please click here.

   During the signup process you will asked to choose a ClickBank nickname.

   Your nickname is your unique to you - and you can choose anything you want.

   You will later use your nickname to create your own unique affiliate link. The correct name for your affiliate link - is hoplink.

   I reserve the right to decline you as an affiliate - just as you have the right to stop being an affiliate. It is very unlikely that I will decline anyone - but reasons for being declined would include if I determine that your site is unsuitable for my Membership Site, ie if it:

   • Promotes sexually explicit materials
   • Promotes violence
   • Promotes discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age
   • Promotes illegal activities
   • Incorporates any materials which infringe or assist others to infringe on any copyright, trademark or other intellectual property rights or to violate the law
   • Is otherwise in any way unlawful, harmful, threatening, defamatory, obscene, harassing, or racially, ethnically or otherwise objectionable to us in our sole discretion.

2. How Do I Link My Site To ChrisFarrellMembership.com?

   I will make available to you banner advertisements, buttons, images, copy, videos and as many tools as possible - that you may use on your site(s)/blog(s)/articles(s) etc. The links I will make available will be in the form of:

   • Images
   • Banners
   • Videos
   • Brandable pdfs
   • More as time goes on

   I am always keen to hear your suggestions and ideas - so if you have any tools that you feel would benefit you as an affiliate - please do not hesitate to contact me. Or suggest it in the DISCUSSION FORUM.

   Your hoplink will allow your visitors to enter my site - and enable me to keep track of whether they join or not. If your visitor does take out a membership - it will be tracked as having come through your efforts - because of your hoplink.

   Therefore - to permit accurate tracking, your hoplink must be configured correctly.

   A correctly configured hoplink for this Membership site will look like this.

   

   Please note - you will replace the xxxxxxxxxxxxxxxxxx with your own Clickbank Nickname (that you will have created when you sign up for your free Clickbank Account).

   You are responsible for ensuring that your hoplink is correctly formatted.

   If you are unsure and want me to check - please feel free to post it on the DISCUSSION FORUM (it doesn't matter if your hoplink is seen) (it will be 'cloaked' when you come to use it - more on that below).

3. How Much Do I Get Paid?

   You will be paid 50% of the net profit from every members monthly fee that signs up due to your recommendation. For more details - please click here.
   

4. When I earn a commission, how soon will it be reflected in my account?

   Any commissions you earn will be posted in your Clickbank account within two minutes of a successful purchase.

   For recurring billing products, the commission you earn on the rebill payments will post to your Clickbank account on the scheduled day according to the payment terms, within two minutes of ClickBank charging the customer.

   Here's an example:

   A customer clicks through your hoplink and purchases a membership that starts on the 1st July.

   Within two minutes - your commission on the sale (at the introductory price of $4.95) - will be paid into your Clickbank Account.

   The recurring billing cycle will begin after 14 days - so for this example - on the 15th July.

   The recurring schedule is $27 every month. Assuming the customer does not cancel, you will be paid commissions into your Clickbank Account starting on July 15th, and then every month, August 15th, September 15th, October 15th etc etc

5. How Often Does Clickbank Pay?

   Clickbank work in 'two-week' periods - beginning on Wednesadys.

   As soon as every two week period is over - you will get paid a further two weeks after this - if your Payment Threshold has been reached (see below for more details).

   For example.

   Imagine the two week period as follows: Wednesday 18th March 2009 to Tuesday 31st March.

   And imagine in that period you made $304 (that is equivalent to 25 people joining because of your efforts...))

   You would get sent your Commission check (or receive your direct deposit) two weeks after the final day of the period - so in this example - on Wednesday 15th April.

6. What Is The Payment Threshold?

   The "Payment Threshold" is a predetermined minimum amount of money you must have in your Clickbank account before we cut you a check.

   You may select an amount from $10 to $100,000 as your Payment Threshold amount.

   The default setting is $100. We hold your payment until your payable balance reaches this amount.

   A $2.50 pay period processing charge is deducted from each payment we issue. To change your Payment Threshold, login to your Clickbank account and select the "Account Settings" tab.

   Click "Edit" to the right of the "Payment Information" section.

   Select the "Payment Threshold" of your choice, and click the "Save Changes" button.

7. What Is A Cloaked Hoplink And Why Is It Important I Do This?

   Cloaking (or hiding) your hoplink is important.

   Clickbank automatically can create your hoplink for you ( I do NOT suggest you do this - but use the free software available on this site).

   Here is a real and active hoplink that I have created at Clickbank.

   If you put that in an email - it's unlikely anyone would click on it. It just looks 'odd'.

   It's much more likely someone would click on the following (which is a cloaked link)

   www.createyourfirstwebsite.com/autoresponder

8. How Are Customer Orders Processed? We will process orders placed by customers via your own unique Clickbank hoplink. It is this unique link - that will allow us to track the sales to you - and of course pay you accordingly.

   We reserve the right to reject any orders that do not comply with our policies or conditions at the time of the order.

   We will be responsible for all aspects of order processing and fulfillment.

   Among other things, we will prepare order forms, process payments, cancellations and returns and handle customer service.

   We will track sales made to customers who purchase using hoplinks - and will make available to you reports summarizing this sales activity. The form, content, frequency and method of delivery of the reports may vary from time to time in our sole discretion.
   
   

9. How Do I Get Paid? We will pay you when visitors from your site use your hoplink to purchase the regular monthly membership from this site.

   Commission is set at 50% of the "Net Sales" made during a "Session".

   "Net Sales" shall mean gross shipped sales from Qualifying Purchases less: Returns (if any - very rare) and Clickbanks fees. ChrisFarrellMembership charges NO fees at all for the affiliate program.

   "Session" shall mean the period beginning upon a visitor's entry to this site via a hoplink (regardless of whether the visitor leaves and then returns to the site) and ending 60 days thereafter.

   Any Session in progress will automatically terminate upon the expiration or termination of this Agreement or upon the visitor deleting our cookie.

   Note regarding "Cookies": To keep track of the Session, we use a small text file called a "cookie" that is placed on the hard drive of the visitor's computer. Some web browsers permit users to elect not to receive cookies. Only visitors who accept cookies can be tracked for referral fees. You understand that no referral fee can be paid for any purchase made by a visitor who does not accept "cookies" or who has deleted our "cookies" during a session. Clickbank's cookies remain valid for 60 days. More on this below.
   
   

10. Cookies - more information

    You may be interested to know the 'techie' side of how the affiliate program works.

    As I have just mentionned above - it is all to do with 'cookies'.

    Lets imagine you want to be an affiliate for this site.

    You will sign up for your free account at Clickbank - and create your own unique hoplink.

    Lets imagine you have a small list of 20 people.

    You send an email to your list - telling them of this site.

    In your email - you include your hoplink (which you can 'cloak' so it does not look like an affiliate link) (more on cloaking links by clicking here).

    Now - lets imagine Alison is on your list - and she opens your email and likes what she see's.

    She will then click on your (cloaked) hoplink - and will be directed to this site's homepage.

    Now - as Alison has clicked on your hoplink - a cookie is placed on her computer. This cookie is valid for 60 days.

    This means - that if Alison joins my site -at ANYTIME during the next 60 days (so NOT necessarily on her first visit) - you will get credited with the sale.

    Tracking HopLinks and affiliate credit with cookies is 100% accurate in the vast majority of cases. For some percentage of customers, however, cookies do not work for tracking. In these rare instances, customers either have cookies turned off in their browser, have utilized new browser security and/or privacy parameters, or have other software installed on their computer that prevents ClickBank from setting a cookie at all. Clickbank (as of 2009) has developed a new technology that will accurately track HopLinks and award correct affiliate credit for most instances where cookies are not set. This new technology works hand-in-hand with our current cookie-tracking system to ensure proper credit is awarded to referring affiliates.

11. Refunds.

    Clickbank offer a 60 day refund policy.

    Therefore - when you get paid every 2 weeks - Clickbank will hold back 10% of the net amount to cover any possible refund requests.

    This 10% is held up to 84 days. It is a rolling balance that Clickbank keep to prevent balances falling into the negative.

    After 84 days - this 10% will be sent to you along with your current payment for the 2 week period that has just ended.

12. Once The Funds Are In My Clickbank Account - How Do I Receive The Money?

    You can either get paid via a check in the mail or by Direct Deposit.

13. Direct Deposit.

    You can request to have your payments paid directly into your bank account.

    There are certain criteria you will have to meet first - the main one being you will have to have received 3 check payments within 90 days.

14. Why Haven't I Received My First Payment? There are two possible reasons:

    * You may not have reached your selected payment threshold. * You may not have met the Customer Distribution Requirement.

15. Customer Distribution Requirement

    ClickBank will withhold payment of any account balance until the following criteria is met:

    * Sales made with 5 or more different credit card numbers; and, * Sales made with two different payment methods (either Visa, MasterCard, or PayPal). Note: PayPal purchases do not count toward the minimum 5 different credit card numbers.

    This requirement is in place to help prevent Affiliates from abusing the ClickBank Affiliate program by using their accounts for the sole purpose of fraudulently collecting rebates and/or discounts on their own purchases.

    Once you have met the Customer Distribution Requirement, your account will begin issuing payments normally, in accordance with our Accounting Policy, beginning on the next payment issuing date.

16. Ownership and License. We hereby grant you a limited, non-exclusive, nontransferable, non-sub licensed, revocable right to use the graphic images and text we are providing to you solely for the purpose of creating links from your site to ours.

    We reserve all of our rights in the graphic image and text, any of our trade names, trademarks, domain names, copyrights trade dress and any other intellectual property rights.

    You agree to follow our guidelines for use of our trademarks, as those guidelines may change from time to time. We may revoke your license at any time by giving you written notice. You also agree that you shall use your hoplinks only in order to link to our site and to promote your ability to do so pursuant to this Agreement.
    
    

17. You are Responsible for Your Site. You will be solely responsible for the development, operation and maintenance of your site and for all materials that appear on your site. For example, you will be solely responsible for:
    • The technical operation of your site and all related equipment · posting and maintaining links to our site
    • The accuracy and appropriateness of materials posted on your site
    • Ensuring that materials posted on your site do not violate or infringe upon the rights of any third party (including, for example, copyrights, trademarks, privacy, or other personal or proprietary rights)
    • Ensuring that materials posted on your site are not libelous or otherwise illegal We disclaim all liability for these matters.
    Further, you will indemnify and hold us harmless from all claims, damages, and expenses (including, without limitation, reasonable attorneys' fees) relating to the development, operation, maintenance, and contents of your site.
18. How Long is the Term of this Agreement? The term of this Agreement will begin upon our acceptance of your application and will end when terminated by either party. Either you or we may terminate this Agreement at any time, with or without cause, by giving the other party notice of termination in accordance with the notice provision of this Agreement. You are only eligible to earn referral fees on Qualifying Purchases occurring during the term, and referral fees earned through the date of termination will remain payable only if the related orders are not canceled or returned. We may withhold your final payment for a reasonable time to ensure that the correct amount is paid.
    
    
19. Can this Agreement be Modified? We may modify any of the terms and conditions contained in this Agreement, at any time and in our sole discretion, by posting a change notice or a new agreement on our site. Modifications may include, for example, changes in the scope of available referral fees, referral fee schedules, payment procedures, and Program rules. IF ANY MODIFICATION IS UNACCEPTABLE TO YOU, YOUR ONLY RECOURSE IS TO TERMINATE THIS AGREEMENT. YOUR CONTINUED PARTICIPATION IN THE PROGRAM FOLLOWING THREE DAYS AFTER OUR POSTING OF A CHANGE NOTICE OR NEW AGREEMENT ON OUR SITE WILL CONSTITUTE BINDING ACCEPTANCE OF THE CHANGE.
